Terms and Conditions of Legal Formation LLC

Welcome to https://www.legalformation.com (the “Website”), operated by Legal Formation LLC (“Company,” “we,” “our,” or “us”). By using this Website or purchasing services, you (“Client,” “you,” or “your”) automatically agree to these Terms and Conditions (“Terms”), whether or not you make a purchase.

 

If you do not agree, you must immediately stop using this Website and our services.

 

1. Nature of Services

Legal Formation LLC provides Wyoming LLC formation and Wyoming Registered Agent services as a filing and privacy service only.

  • We have no ownership, control, or managerial interest in any LLCs we form.

  • We act only as the Organizer to file the Articles of Organization and immediately resign once filing is complete.

  • This is a privacy-based service, not a legal, tax, or financial advisory service.

If any state or federal authority lawfully requests records, we will provide them as required by law.

 

2. Order Process and Deliverables

When you order a Wyoming LLC:

  1. We file your Articles of Organization with the Wyoming Secretary of State using our business information as Organizer (if you choose our Registered Agent service).

  2. We provide via email:

    • Articles of Organization (filed with the State),

    • Certificate of Formation (issued by the State),

    • Registered Agent Consent Form,

    • Acceptance of Manager Resolution (must be signed and notarized),

    • Organizer Resignation Form,

    • Generic Operating Agreement (free template),

    • Internal resolutions for opening a bank account,

    • Mail forwarding instructions.

Required Step:
Before we release your LLC documents (Articles of Organization, Certificate of Formation, etc.), you must sign and notarize the form (Acceptance of Manager Resolution) and email it back to us. This is mandatory to complete your LLC setup.

Completion Time:
We aim to complete LLC filings within 24 hours. Most are completed within a few hours, but delays caused by the Wyoming Secretary of State or other external factors may exceed 24 hours.

 

3. Registered Agent Services and Mail Forwarding

  • Paid Wyoming Registered Agent service includes free Wyoming mail forwarding (not intended for packages).

  • Mail Limit: 5 scanned mail pieces per year. For $40 (Registered Agent only) or $159 (LLC + Agent), you may upgrade to 25 pieces per year.

  • Additional mail is billed at $5 per piece, or you can 20 pieces for $20 when your allotted amount runs out.

  • Small items (e.g., checks or IDs) requiring physical forwarding incur a $20 handling fee + shipping.

  • Packages are not accepted.

  • Mail cannot be picked up in person. Only Legal Formation LLC employees can access the mailbox.

  • We are not responsible for lost, delayed, or misdelivered mail.

Third-Party Free Agent Links:
If you choose a free third-party registered agent (without mail forwarding or address use), this service is entirely separate from Legal Formation LLC. We are not responsible for their actions or performance.

 

 

4. Refund Policy

  • LLC Formation: Full refund available only before filing with the State of Wyoming. No refund after filing.

  • Registered Agent Services: Refunds available within 30 days of purchase or until the Agent Consent Form is filed, whichever comes first.

Refunds are processed to the original payment method via Stripe.

 

 

5. Client Responsibilities

  • You must provide accurate information for your LLC.

  • You must sign and notarize the Acceptance of Manager Resolution before we release your LLC documents.

  • Legal Formation LLC has no ownership or responsibility for your LLC or its activities.

 

6. Non-Payment and Shelf Companies

  • If payment is rejected after filing, you have 30 days to pay the outstanding balance.

  • After 60 days, the LLC will be converted into a shelf company and sold to a reasonable buyer determined by Legal Formation LLC. And you will have no right to the LLC as originally ordered.

  • Reclaiming your LLC between days 31–60 incurs an additional $99 retrieval fee.

 

7. Misuse, Criminal Activity, and Competitor Attacks

Prohibited Uses

  • Criminal activities using our services (fraud, illegal business practices, etc.) are strictly prohibited.

  • Competitor sabotage, hacking attempts, scraping, negative SEO, or any malicious interference with this Website or our services is strictly forbidden.

  • Unauthorized access, distribution, or duplication of content from this Website is also prohibited.

Consequences

  • Minimum Liquidated Damages: Any individual, competitor, or entity engaging in malicious or prohibited behavior (including hacking, SEO attacks, or fraud) agrees to pay a minimum of $10,000 in liquidated damages, in addition to all legal fees, attorney costs, and monetary damages caused by their actions per incident.

  • Legal Formation LLC reserves the right to pursue civil and criminal prosecution for violations of this section.

 

8. Client Conduct

  • Excessive phone calls or emails (as determined by Legal Formation LLC) may result in probation or termination of services without refund.

 

9. Privacy, Legal Compliance, and Indemnification

  • Legal Formation LLC is a privacy-based filing service, but we must comply with lawful requests from state or federal authorities.

  • You agree to indemnify, defend, and hold harmless Legal Formation LLC and Jason Lars Olaf DeBraal against all claims, lawsuits, attorney fees, court costs, and damages arising from:

    • Your LLC operations,

    • Your misuse of our services,

    • Any legal action involving your LLC.

 

10. Intellectual Property and Website Use

  • No content from this Website may be copied, redistributed, or modified without written permission.

  • This Website must not be used for illegal purposes, attacks on competitors, or any damaging actions.

 

11. Agreement to Terms

By using this Website or purchasing services, you agree to these Terms and all future revisions.

 

12. Governing Law

These Terms are governed by the laws of Wyoming, with exclusive jurisdiction in Laramie County, Wyoming courts.

 

13. Renewal

If you sign up for Wyoming Registered Agent service for $20 or $40, you will be billed the following year. A refund after billing will result in a $20 chargeback fee. You can cancel the renewal charge anytime before your yearly anniversary date of purchasing the service. Contact us by email or the contact form to give your refund or cancellation request.

 

Wyoming LLCs can be cancelled and a refund issued if you notify the office by email, contact form, or phone before the LLC is filed with the state. A renewal for the LLC will be emailed to your contact email address two months in advance. You will pay your yearly registered fee and you will pay us the state renewal fee for an Annual Report if you want us to file the required report for you, at no additional cost!
